Office 365 Terms of Service

These Special Terms of Sale and Use (hereinafter referred to as “STSU”) form the Agreement (“Agreement”) between Genious Communications and any person subscribing to Genious Communications’ Microsoft Office 365 Service (hereinafter the “Customer”) and sets forth the terms and conditions of Your use of Microsoft Office 365 Service. By using the Microsoft Office 365 Service, the Customer acknowledges that He has read, understand and agree to be bound by all the terms and conditions of this Agreement, and further agrees to be bound by the terms of this Agreement for transactions entered into by anyone who uses the account, whether or not the transactions were on the Customer’s behalf and/or authorized by Him.

1. Subject

These Special Terms of Use of System Management and their appendices govern the Customer’s use of Microsoft Office 365 Service.

These Special Conditions and their Appendices shall prevail over the General Conditions if a contradiction should appear between these documents.


2. Amendment of the Contract

These STU may be modified, in accordance with the GTSU, in order to take into account any technical or legal evolution. The use of Genious Communications’ services and its website after any such changes constitutes Your acceptance of those changes.


3. Service performance Conditions

Genious Communications will send the customer an email confirming the activation of the Service, providing the customer with the codes to access his email.

Customer acknowledges and agrees that use of Microsoft Office 365 services through Genious Communications is subject to the Microsoft Customer Agreement https://www.microsoft.com/licensing/docs/customeragreement), which is incorporated herein by reference, including, but not limited to, the terms governing privacy and treatment of your data therein.


4. Description of the service

With Microsoft Office 365, the Customer can benefit from packages that differ in terms of storage capacity, the number of accounts available, file sharing and the number of devices allowed. (See the different packages available on https://www.genious.net/en/mail-solutions/microsoft365.


5. Contract duration


This Agreement shall be effective starting from the service’s activation date and shall remain in effect for the duration selected by the Customer while placing the Order.


6. Renewal of the Contract

The Customer is required to notify Genious Communications regarding its desire to renew Microsoft Office 365 service.

The Customer acknowledges the subscription duration he chose while placing its Order and thus, the expiry date of the service to which he has subscribed. Therefore, the Customer is solely responsible for the renewal of the service.


7. Termination of the Contract

The Customer acknowledges and agrees that:


• He is solely responsible for his willingness to renew


• Once he requests the cancellation of his Microsoft Office 365 account, he will no longer have access to its content and that it can be permanently deleted.


• Failure to pay the renewal invoice on time is considered an act of termination.


• Prior to any cancellation request, it is its responsibility to export, copy, or collect any content they wish before proceeding to cancel the Microsoft Office 365 account.


8. Genious Communications' Obligations and Responsibilities

8.1. Obligations of Genious Communications

Genious Communications undertakes to provide access to the Service 24/7, and to inform the Customer, within a reasonable period of time, by e-mail or via the Customer Area, of a possible interruption of the Service, so that the Customer can make arrangements.

8.2. Genious Communications' Limitation of Liability

Genious Communications shall not be liable for the content of the Customer's email or for any failure caused by the Customer's misuse of the Service.

Customer agrees that under no circumstances will Genious Communications be liable to Customer for any loss incurred by Customer as a result of Customer's use of Microsoft Office 365 outside the scope of use specified in the aforementioned Microsoft Customer Agreement.


9. Obligations and responsibility of the Customer

9.1. Obligations of the Customer


The Customer undertakes and agrees to:

a) Respect the rights of third parties, including the personal rights and intellectual property rights of third parties;

b) To set up the necessary means of safeguarding the continuity of its activity;

c) Keep a copy of the data transmitted on his email;

d) To deal personally with any claim that may be made against Genious Communications and that is related to the obligations of the client under this contract and to pay directly to the author of the claim any sum that the latter may require from Genious Communications;

e) Do not use SPAM.

Failure by the client to comply with the above points will entitle Genious Communications to interrupt the client's services without delay and without prior notice and to terminate the contract immediately and by right, without prejudice to the right to any damages that Genious Communications may claim. In these cases, the customer cannot claim reimbursement by Genious Communications of sums already paid.

9.2. Customer's responsibility


The Customer is solely responsible for :

a) Any loss or damage to its mailbox;

b) Keeping independent backup copies of your email data;

c) The security and confidentiality of all the content of his email.

Genious Communications shall not be liable for any loss, damage or destruction of any content belonging to the Customer.


10. Genious Communications Support

As specified in our General Terms and Conditions of Sale and Use, Genious Communications Support team is available by email at tickets@genious.net, by phone at +212 (05) 24 29 87 00 or via the ticket system on the Customer Area. Genious Communications Support can be contacted by email 24/7 and by phone from Monday to Friday, from 9:00 am to 6:00 pm.

However, the Customer acknowledges that Genious Communications support team only provides commercial and billing support. Technical support is provided by Microsoft Office 365.


11. Data processing

The Customer hereby acknowledges and agrees to the processing of its data by Genious Communications, Microsoft and their respective associates, affiliates and service providers.
